Article 1. Application of general terms and conditions

All agreements concluded with Get Your Way SRL (hereinafter "the Seller") are exclusively governed by these general terms and conditions. Any contrary condition from the Buyer will not be enforceable against the Seller, unless expressly agreed in writing.

Article 2. Offer and order

2.1. The Seller's offers are valid for 30 days from their issuance. After this period, they automatically expire if not accepted.

2.2. Any order validated by the Buyer constitutes a firm and final commitment.

2.3. The Seller reserves the right to adjust prices in case of significant variation in the cost of raw materials, components, or wages.

2.4. Any order modification must be approved in writing by the Seller. Additional costs and delays will be fully borne by the Buyer.

2.5. The Seller reserves the right to refuse or cancel any order in case of prior dispute, unpaid invoice, or payment authorization failure, without any liability being attributed to them.

Article 3. Delivery times

3.1. Delivery times are indicative and do not constitute a firm commitment, unless stated otherwise in writing. A delay cannot give rise to compensation or order cancellation, except in case of gross or intentional fault by the Seller.

3.2. If the Buyer requires execution within a reduced timeframe, the corresponding additional costs will be charged to them.

Article 4. Delivery terms and transfer of risk

4.1. Delivery is made to the address indicated by the Buyer, by the Seller or a designated third party.

4.2. The Buyer is responsible for the accuracy of delivery information. In case of error, delivery will be deemed completed and additional costs will remain their responsibility.

4.3. In case of absence of the Buyer or refusal of receipt, the costs of a new delivery will be charged.

4.4. The transfer of risk occurs as soon as the products are made available according to the agreed method.

4.5. If the Buyer chooses their own carrier, risks are transferred upon delivery of products to said carrier.

4.6. Any claim relating to products must be submitted within 5 business days following delivery. After this period, products are deemed compliant, except for hidden defects.

Article 5. Contractual liability

5.1. The Seller cannot be held liable for inappropriate use of products.

5.2. The Buyer remains solely responsible for data processed via the products. The Seller does not guarantee the integrity of transmissions via third-party networks.

5.3. The Seller's liability is limited, in any case, to the invoiced amount of the order concerned.

5.4. Only direct damages are compensable. Indirect damages (loss of revenue, loss of profit, intangible loss) are expressly excluded.

5.5. The limitation of liability does not apply in case of fraud or gross fault by the Seller.

Article 6. Warranty

Hidden defects are covered by a one-year warranty from delivery. Any claim must be notified in writing.

Article 7. Force majeure

The Seller is not responsible for delays or non-performance due to force majeure, such as strikes, transport blockages, communication failures, floods, fires, accidents, or any other unforeseeable and irresistible event.

Article 8. Personal data protection

8.1. The Seller complies with GDPR (EU Regulation 2016/679).

8.2. The Buyer's personal data is processed for customer management, after-sales service, commercial prospecting, and compliance with legal obligations.

8.3. Data is retained for 3 years after the end of the contractual relationship.

8.4. Data remains strictly confidential, used only by internal services. It is neither sold nor rented to third parties.

8.5. The Buyer has the rights of access, rectification, and deletion of their data, to be exercised with Get Your Way, Rue Englebert Lescrenier 43, 4340 Awans, Belgium, or by email: info@getyourway.be

8.6. The Buyer may also file a complaint with the Data Protection Authority (DPA – Belgium).

8.7. The Seller is not responsible for data processing carried out by the Buyer via the products.

Article 9. Contract termination by the Buyer

9.1. In case of unilateral termination by the Buyer, all delivered equipment will be invoiced in full.

9.2. In case of termination before delivery:

  • 70% of the price excluding tax will be charged for equipment already produced
  • 50% of the price excluding tax for equipment yet to be produced

9.3. Any termination must be notified in writing and confirmed by Get Your Way.

Article 10. Non-performance and contract termination

Each party may, after formal notice remaining without effect for 15 days, terminate the contract by right in case of serious breach by the other party of its obligations, without prejudice to the right to compensation.

Article 11. Payment

11.1. Ordered equipment is invoiced at the end of the month, unless otherwise agreed in writing.

11.2. Any invoice dispute must be sent by registered mail within 10 days following its issue date.

11.3. In case of non-payment at due date, a first free reminder will be sent to the Buyer, who will then have 14 days to settle the invoice.

11.4. After this period, flat-rate fees will be applied:

  • Debt < €150: flat fee of €20
  • Debt ≥ €150 and < €500: flat fee of €30 + 10% of the amount
  • Debt ≥ €500: flat fee of €65 + 5% of the amount beyond €500, capped at €2,000

11.5. Unpaid amounts automatically bear late payment interest calculated according to Belgian law of August 2, 2002 (ECB base rate + 8%).

Article 12. Nullity and entirety

The nullity of a clause does not affect the validity of other provisions. These Terms and Conditions constitute the entire agreement between the parties.

Article 13. Applicable law and competent jurisdiction

Any dispute relating to these Terms and Conditions falls under the exclusive jurisdiction of the courts of the judicial district of Liège. Belgian law applies.
